China-Appointed Attesting Officer (CAAO) Services for HK company to set up subsidiary in Shenzhen, PRC
A HK company would like to set up a wholly owned subsidiary in Shenzhen, PRC (WOFE).
The HK company is required to have the following documents attested by China-Appointed Attesting Officer (CAAO) in HK :
1) Certificate of Incorporation
2) Business Registration Certificate
3) Written Resolutions of All Directors.
The general requirement is that if the HK company has more than 1 directors, at least 1 of the directors will need to come to HK for the signing of the resolutions in the presence of CAAO in HK.
The HK company should at least also make sure the following are in order:
1) Register of Directors (ROD)
2) Register of Members (ROM)
3) Authorized signature chop and round chop
if the directors could not read Chinese, the resolutions will be prepared in both Chinese & English.
