Hong Kong IT or Software company would like to set up a subsidiary or corporation in the Philippines to engage in IT business, software and hardware research and development services and IT applications products, systems integration, maintenance and support, data processing and communication businesses.

1) Certificate of Incorporation and Articles of Association of the Hong Kong company

2) Articles of Incorporation of the Subsidiary /Corporation to be set up in the Philippines   

3) By-laws of the Subsidiary / Corporation to be set up in the Philippines

4) Special Power of Attorney of directors of the Subsidiary / Corporation to be set up in the Philippines to authorize the Attorney in the Philippines to handle matters like the following: 

• a) To secure Tax Identification Number and to sign any Application Form, Return, or Document in relation therewith and relative to the establishment of the Corporation in the Philippines, with the Principal as Incorporator, in compliance with all the requirements of the concerned regulatory agencies under Philippine Law such as the Securities and Exchange Commission (SEC), Bureau of Internal Revenue (BIR), the Local Government Unit of the City in the Philippines and other concerned agencies;
• b) To pay any and all taxes, assessments, fees, and charges on behalf of the Principal;
• c) To obtain copies of all pertinent documents and records in any and all offices and government agencies, as may be required or necessary to exercise the foregoing powers; and
• d) To perform such acts and duties as may be necessary or incidental to the foregoing powers and authority to the end that the Attorneys-in-Fact may effectively carry out the duties hereunder.

5)  Board Resolution of the directors of the Hong Kong company

6) Treasurer's Affidavit

7) Written undertaking to comply with SEC reporting requirements

8) Written undertaking to change corporate name (if applicable)
